Sublease Agreement
Tenants who need to sublease their rental unit to a subtenant, whether for a temporary relocation, early lease departure, or partial space sharing.
A sublease agreement allows an existing tenant to rent out their leased space — or a portion of it — to a subtenant. This creates a three-party relationship: the landlord, the original tenant (sublessor), and the new occupant (sublessee). The original tenant remains fully responsible to the landlord under the master lease, while the subtenant is responsible to the original tenant under the sublease.
Subleasing is common when tenants relocate temporarily, need to leave a lease early, or want to share space to reduce costs. However, most leases require the landlord's written consent before subleasing. Failing to get consent can result in eviction for both the original tenant and the subtenant.
Important: Landlord Consent Is Almost Always Required
Before signing or executing any sublease, the original tenant must check their master lease for subleasing provisions. Most residential and commercial leases either prohibit subleasing entirely or require the landlord's prior written consent. Even in jurisdictions where landlords cannot "unreasonably withhold" consent, you still need to ask. A sublease executed without required consent is grounds for termination of the master lease. This template includes a landlord consent section — do not skip it.
Key Clauses Explained
Parties — Identifies all three parties: the original tenant (sublessor), the subtenant (sublessee), and the landlord. Even though the landlord is not a signing party to the sublease, they must be identified because the sublease is subordinate to the master lease.
Landlord Consent — Documents that the landlord has been notified and has given written approval for the sublease. Some landlords sign a separate consent form; others countersign the sublease itself. Either way, get it in writing before the subtenant moves in.
Property — Describes the subleased premises in detail. If the entire unit is being subleased, reference the full address and unit number. If only a portion (e.g., one bedroom in a shared apartment), describe exactly which spaces are included and which are shared.
Term — Sets the start and end dates of the sublease. The sublease term cannot extend beyond the master lease term. If the master lease ends June 30, the sublease must end on or before June 30. No exceptions.
Rent — Specifies the monthly rent the subtenant pays to the original tenant, when it is due, and the acceptable payment method. The original tenant remains responsible for paying the landlord the full rent under the master lease, regardless of whether the subtenant pays on time.
Security Deposit — Covers the deposit the subtenant pays to the original tenant. This is separate from any deposit the original tenant has with the landlord. State laws on security deposits (limits, return timelines, interest requirements) typically apply to subleases as well.
Original Lease Compliance — The subtenant agrees to follow all rules and restrictions in the master lease, even though they are not a party to it. This includes quiet hours, pet policies, parking rules, maintenance obligations, and prohibited activities. The original tenant should provide the subtenant with a copy of the master lease.
Maintenance — Defines who is responsible for routine upkeep, minor repairs, and reporting issues to the landlord. Typically, the subtenant handles day-to-day maintenance while the original tenant retains responsibility for major issues and landlord communications.
Termination — Covers how the sublease can be ended early, what constitutes a breach, and what happens if the master lease is terminated. If the landlord terminates the master lease, the sublease automatically terminates as well — the subtenant has no independent right to remain.
Red Flags to Watch For
- No landlord consent obtained — This is the single biggest risk. Without written consent, the landlord can evict the original tenant and the subtenant. Verbal approval is not sufficient.
- Sublease term exceeds master lease — The sublease cannot extend beyond the master lease expiration. If it does, it is unenforceable for the excess period.
- No copy of master lease provided — The subtenant is bound by rules they may not know about. Always attach or reference the master lease.
- Rent higher than master lease allows — Some jurisdictions and lease agreements prohibit the original tenant from charging the subtenant more than the master lease rent. Check your lease and local law.
- No move-in/move-out inspection — Without a documented condition report, disputes over security deposit deductions are inevitable.
- Original tenant disappears — If the original tenant is relocating, ensure there is a reliable way to contact them. They are still the landlord's tenant and the subtenant's point of contact for lease issues.
- No provision for master lease termination — If the sublease does not address what happens when the master lease ends or is terminated, the subtenant has no clarity on their rights.

Sublease Agreement
This Sublease Agreement ("Sublease") is entered into as of [DATE], by and between:

2. Property

4. Rent

5. Security Deposit

(b) The security deposit shall be held by the Sublessor and returned to the Sublessee within [NUMBER] days after the Sublease Term ends and the Sublessee has vacated the Premises, less any lawful deductions for:

- Cleaning costs to restore the Premises to move-in condition
- Other charges permitted under applicable law
(c) The Sublessor shall provide the Sublessee with an itemized statement of any deductions.
(d) Both parties shall conduct a move-in inspection on or before [START DATE] and a move-out inspection on or before the last day of the Sublease Term, documenting the condition of the Premises with written notes and photographs. The move-in condition report is attached as Exhibit C.
6. Original Lease Compliance

(c) Any violation of the master lease by the Sublessee shall constitute a breach of this Sublease.
7. Utilities

8. Maintenance and Repairs
(a) The Sublessee shall maintain the Premises in clean and habitable condition and shall not cause or permit any damage beyond normal wear and tear.
(b) The Sublessee shall promptly notify the Sublessor of any maintenance issues, needed repairs, or emergency conditions. The Sublessor shall be responsible for communicating with the Landlord regarding repairs that are the Landlord's obligation under the master lease.
(c) Minor repairs costing less than $[AMOUNT] (e.g., replacing light bulbs, unclogging drains, replacing batteries) are the Sublessee's responsibility.
(d) The Sublessee shall not make any alterations, improvements, or modifications to the Premises without the prior written consent of both the Sublessor and the Landlord.
9. Termination
(a) Expiration. This Sublease terminates automatically at the end of the Sublease Term without further notice.
(b) Early Termination by Agreement. Either party may terminate this Sublease early upon [30] days' written notice and the mutual written consent of both parties.
(c) Termination for Breach. If the Sublessee materially breaches this Sublease (including failure to pay rent, violation of the master lease, or damage to the Premises), the Sublessor may terminate this Sublease upon [NUMBER] days' written notice, subject to applicable state law requirements for notice and cure periods.
(d) Master Lease Termination. If the master lease is terminated for any reason — including the Landlord's decision not to renew, the Sublessor's default, or mutual agreement — this Sublease shall automatically terminate on the same date. The Sublessor shall provide the Sublessee with as much advance notice as reasonably possible. In such event, the Sublessee shall vacate the Premises and the Sublessor shall refund any prepaid rent and the security deposit (less lawful deductions) within [NUMBER] days.
(e) Holdover. If the Sublessee remains in the Premises after the Sublease Term without the Sublessor's written consent, the Sublessee shall be deemed a holdover tenant and shall pay rent at [150]% of the monthly rate for each day of holdover, in addition to any damages incurred by the Sublessor.
10. Liability and Insurance
(a) The Sublessee is responsible for their own personal property. The Sublessor and Landlord are not liable for any loss, theft, or damage to the Sublessee's belongings.

11. Access
The Sublessor (or Landlord) may access the Premises upon [24/48] hours' written notice for inspections, repairs, or showings, except in cases of emergency requiring immediate access. The Sublessee shall not unreasonably deny access.
12. Governing Law
This Sublease shall be governed by the laws of the State of [STATE] and any applicable local ordinances regarding landlord-tenant relationships and subleasing.
13. Entire Agreement
This Sublease, together with the master lease and any attached exhibits, constitutes the entire agreement between the Sublessor and Sublessee regarding the Premises. Amendments require the written consent of both parties.
