Key Clauses Explained
Partners — Identifies every partner by legal name and defines their role. This seems obvious, but disputes frequently arise over whether someone is a "partner" or merely an employee or advisor.
Contributions — Spells out what each partner brings to the table: cash, property, intellectual property, sweat equity, or a combination. This determines initial ownership percentages and prevents "I thought we agreed..." arguments later.
Profit Sharing — Defines how profits and losses are allocated. This can match ownership percentages or differ (e.g., one partner gets a larger share because they handle day-to-day operations). Also covers when and how distributions are made versus reinvested.
Management — Establishes who runs day-to-day operations. In some partnerships, all partners manage equally. In others, one partner is the managing partner while the rest are passive. Clarity here prevents stepping on each other's toes.
Decision Making — Differentiates between ordinary decisions (one partner can decide) and major decisions (require unanimous or majority vote). Major decisions typically include spending above a threshold, taking on debt, hiring key employees, or changing the business direction.
New Partners — Sets the process for admitting new partners. Without this clause, any partner could theoretically bring in someone the others never agreed to. Most agreements require unanimous consent.

Red Flags to Watch For
- Equal profit splits with unequal contributions — If one partner invests $100K and another invests time, a 50/50 split without addressing the capital imbalance breeds resentment.
- No buyout valuation method — If the agreement does not specify how a departing partner's share is valued (book value, fair market value, formula), expect a fight.
- Silent on deadlock — Two-partner 50/50 splits with no deadlock-breaking mechanism are ticking time bombs. Include a shotgun clause or tie-breaking procedure.
- No capital call provisions — If the business needs more money, can partners be required to contribute? If one cannot, what happens to their share?
- Verbal side agreements — If it is not in this document, it does not exist. Insist on an integration clause.

1. Partnership Name and Purpose
The Partners hereby form a general partnership under the name [PARTNERSHIP NAME] (the "Partnership") for the purpose of [DESCRIBE BUSINESS PURPOSE]. The Partnership's principal place of business shall be [ADDRESS].
2. Contributions
Each Partner shall contribute the initial capital or property described in the table above on or before [DATE]. No Partner shall be required to make additional contributions without the unanimous written consent of all Partners, except as provided in Section 2(b).
(a) Additional Contributions. If the Partnership requires additional capital, the Partners shall first attempt to fund it through business revenues. 4. Management

6. Admission of New Partners

7. Withdrawal of a Partner
(a) Voluntary Withdrawal. A Partner may withdraw upon [90/180] days' written notice to all other Partners.
(b) Buyout. The Partnership shall dissolve upon: (i) unanimous written consent of all Partners; (ii) the occurrence of any event making it unlawful to continue the business; (iii) a judicial decree of dissolution; or (iv) the withdrawal of a Partner if the remaining Partners do not elect to continue within [30] days.
(b) Winding Up. Upon dissolution, the Partners shall wind up the Partnership's affairs by: (i) completing existing contracts; (ii) collecting receivables; (iii) paying all debts and obligations; and (iv) distributing remaining assets to Partners in proportion to their capital accounts.
9. Dispute Resolution
(a) Mediation. Any dispute arising under this Agreement shall first be submitted to mediation administered by [MEDIATION SERVICE OR "a mutually agreed mediator"] in [CITY, STATE]. Each Partner shall bear their own costs of mediation, with the mediator's fees split equally.
(b) Arbitration. 10. Non-Compete Between Partners

(b) This restriction shall not apply to a Partner who is involuntarily removed from the Partnership without cause.
11. Confidentiality
Each Partner agrees to maintain the confidentiality of the Partnership's proprietary information, trade secrets, client lists, financial records, and business strategies during the term of the Partnership and for [24] months thereafter.
12. Governing Law

13. Entire Agreement
